Our Services constitute a technology platform that allows clinical laboratories to manage multiple services during specimen processing, testing, and result reporting operations. Services include but are not limited to:

  • Laboratory Information Management System (LIMS) integration and data exchange
  • Specimen tracking and chain of custody management
  • Test result reporting and delivery to healthcare providers
  • Quality control and quality assurance monitoring systems
  • Regulatory compliance reporting and documentation
  • Billing and revenue cycle management for laboratory services
  • Integration with healthcare provider networks and hospital systems
  • Reference laboratory network coordination and specimen routing

Important Laboratory Responsibility

It is crucial to understand that your laboratory is wholly and solely responsible for ensuring the quality and accuracy of all laboratory testing and diagnostic services provided. Maintaining proper analytical standards, quality control procedures, proficiency testing compliance, and regulatory adherence is your laboratory's duty and obligation. Lnkr is a technology company. We simply aim to assist your clinical laboratory operations and facilitate communication with healthcare providers and patients. We do not -and do not intend- to perform laboratory testing or provide diagnostic interpretations.

Laboratory Authorization Required

The Services are not intended for use by facilities that are not legally authorized to operate as clinical laboratories or conduct diagnostic testing activities. By agreeing to these Terms, you represent and warrant to Lnkr that your laboratory is properly licensed, CLIA-certified, and authorized to perform clinical laboratory services. You agree that materials available through our Services are for operational and administrative purposes only, and do not act as a substitute for proper laboratory protocols, quality control procedures, or professional laboratory judgment. The information and Services on this platform are provided to support laboratory operations and should be used in conjunction with established laboratory standards and regulatory requirements.

2. License

By using our Services, we hereby grant your laboratory a limited, revocable, non-exclusive, non-sub licensable, right to: (i) access, upload and use our platform for the sole purpose of using our Services in your laboratory operations; and (ii) access and use information and materials provided, made available or otherwise found on our Content.

This license is not intended to be sub-assigned, sold, rented, leased, exported, imported, distributed, transferred or otherwise granted to third parties outside of your authorized laboratory personnel, nor is such license intended for commercial use beyond your diagnostic testing operations.

Subject to these Terms, Subject to these Terms, your laboratory is hereby granted a limited, revocable, non-exclusive right to use the content and materials on the application in the normal course of laboratory operations. You may not use any third-party intellectual property without the express written permission of the applicable third party, except as permitted by law.

3. Prohibited Activities

Your laboratory and its authorized personnel are prohibited from the following activities:

  • Probing, scanning, or testing the vulnerability of any system or network
  • Breaching or circumventing security or authentication measures
  • Accessing non-public areas of the Service
  • Interfering with or disrupting users, hosts, or networks
  • Planting malware or distributing malicious software
  • Sending unsolicited communications, promotions, or spam
  • Publishing fraudulent, misleading, or infringing content
  • Impersonating others or misrepresenting affiliations
  • Sharing unlawful, inappropriate, or hateful content
  • Using the platform for purposes other than legitimate laboratory operations

4. Laboratory Registration and Access Management

In order to access the laboratory features of the Services, your clinical laboratory will need to register with Lnkr and create a laboratory account through the online registration process. Your account gives your laboratory access to the Services and functionality that we may establish and maintain from time to time and in our sole discretion.

Registration Requirements

In creating a laboratory account, you must provide Lnkr with accurate and complete registration information about your clinical laboratory facility. You must promptly notify Lnkr if any of this information changes. Upon completing your laboratory data registration, this means that you have an active laboratory account on our platforms. To use our Services, you will need to sign a "Laboratory Service Agreement" and submit appropriate CLIA certificates, state licenses, and other certifications proving your laboratory is duly authorized to perform clinical testing services.

Access Security and Personnel Management

  • Your laboratory must maintain secure access credentials for all authorized personnel
  • Laboratory director and supervisor passwords must be kept confidential at all times
  • Never respond to requests for passwords, especially from alleged Lnkr employees
  • Lnkr employees will never ask for your passwords
  • Your laboratory is responsible for all use of laboratory accounts and personnel access
  • Multiple consecutive login failures may result in account suspension
  • You must manage and monitor all personnel access within your laboratory

You must notify Lnkr immediately if you believe your laboratory account or any personnel credentials have been obtained or accessed by any unauthorized person or entity.

5. Communications Consent

By registering as a laboratory user and providing Lnkr your contact information, you consent to our using this information to send you Service-related notices, including any notices required by law, system updates, security alerts, and relevant clinical laboratory industry communications. You may opt-out of non-essential communications while maintaining necessary system and security notifications.

6. Third-Party Integrations

The platform may integrate with third-party laboratory information systems, instrument interfaces, healthcare provider networks, or other diagnostic technology services that are not owned or controlled by Lnkr. Lnkr has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party systems or services.

Important: Important: If your laboratory integrates with third-party systems through Lnkr's platform, you do so at your own risk and must ensure compliance with all applicable clinical laboratory regulations (CLIA, HIPAA, CAP, state regulations, etc.). You expressly release Lnkr from any and all liability arising out of your use of any third-party integrations or services.

7. Laboratory Data and Content

By using our Services, your laboratory provides us with information, test results, specimen data, and files that you submit to Lnkr (together, "your laboratory profile" and "laboratory data").

Data Usage Rights

By uploading, storing or transmitting any content through the platform, your laboratory grants Lnkr the necessary rights to process, store, and manage such data to provide the contracted services. All patient test results and health information remains subject to HIPAA, CLIA, and other applicable clinical laboratory privacy regulations.

Clinical Laboratory Data Management Agreement

You understand and agree that the relationship between your laboratory and Lnkr includes data management services to gather, process, secure, and manage clinical laboratory information in compliance with applicable regulations. Your laboratory has provided this data to Lnkr for the purpose of delivering contracted laboratory technology services.

Important Notes

  • Your laboratory retains ownership of all laboratory and patient data
  • Data retention policies will be governed by your laboratory service agreement
  • You are responsible for ensuring authorized personnel access to sensitive test data
  • Your laboratory must maintain compliance with all clinical laboratory privacy regulations
  • Data backup and disaster recovery procedures are part of service agreements

8. Key Laboratory Responsibilities

Data Accuracy and Compliance

Your laboratory data, licenses, CLIA certificates, and accreditations must be accurate, complete and updated at all times. Your laboratory must maintain compliance with all applicable clinical laboratory regulations. Failing to do so, you acknowledge that Lnkr has the right to suspend or terminate your use of the Services.

Account Security and Personnel Management

  • Your laboratory must maintain secure access controls and personnel management policies
  • You are responsible for all activities performed by your authorized personnel
  • You must immediately report any suspected security breaches or unauthorized access
  • Laboratory accounts cannot be transferred to other facilities without proper authorization
  • Regular security audits and access reviews should be conducted

Regulatory Compliance

  • Maintain compliance with CLIA, HIPAA, CAP, and other applicable laboratory regulations
  • Ensure proper Business Associate Agreements are in place
  • Implement appropriate quality control and quality assurance procedures
  • Conduct regular proficiency testing and maintain documentation
  • Maintain audit trails and chain of custody documentation as required by law
  • Ensure proper personnel qualifications and training records
